Welcome to Vibez Creative ("we", "our", "us", "Contractor"). These Terms and Conditions ("Terms") govern all services and products provided by Vibez Creative, including but not limited to video podcast systems, podcast licensing, content creation, podcast management, consulting, and related services. By purchasing, subscribing to, or using any Vibez Creative service, you ("Client", "you") agree to be legally bound by these Terms.

These Terms, together with any service agreements, addenda, or product-specific documentation (collectively, the "Agreement"), form a unified agreement between you and Vibez Creative. In the event of a conflict between these Terms and any addendum, the addendum will control only for that specific product or service.

1. Definitions

Client / User / Member – Any individual or entity that purchases, subscribes to, or uses Vibez Creative’s services.

Services – All programs, packages, consulting, content creation, production, distribution, strategy, and related services provided by Vibez Creative.

Deliverables – Any content, materials, or services provided to the Client under a service agreement or package (e.g., video episodes, mini-episodes, short-form clips, marketing assets, coaching calls, strategy documents, or distribution services).

Program Agreement / Service Agreement – A product-specific agreement detailing the services, deliverables, timelines, and pricing associated with a specific package or offering.

2. Services and Deliverables

Vibez Creative provides high-quality video podcast production services, including but not limited to:

Market Research and Content Strategy

Podcast Production: including video episodes, mini-episodes, and short-form videos

Podcast Coaching and Consulting

Content Management across multiple platforms (YouTube, Instagram, TikTok, LinkedIn, etc.)

Podcast Distribution and Analytics

Studio time, filming, and post-production services

Other services as described in specific service agreements or product offerings

Service packages and deliverables vary based on the specific package selected by the Client. Detailed deliverables and timelines will be agreed upon prior to project commencement and are subject to availability.

3. Payment Terms

3.1 Payment Obligations
The Client agrees to pay for the services as per the terms outlined in the specific service agreement or product package selected. All payments are due in advance and non-refundable. Payment plans are provided as a courtesy and do not reduce or prorate the total cost.

3.2 No Refunds

By engaging Vibez Creative’s services and making any payment, you acknowledge and agree that all payments are final and non-refundable under any circumstances. This includes, but is not limited to, preparatory work, research, strategy development, studio bookings, and time dedicated by Vibez Creative.

3.3 Work Commencement & Reserved Spot

Upon payment, Vibez Creative reserves the Client's spot and begins work according to the agreed schedule. All DFY services operate as 12-month partnerships, designed to achieve results over the full term. Termination, cancellation, or non-use of services does not entitle the Client to any refund or credit.

3.4 Late Payments
If any payment is delayed beyond the agreed-upon due date, Vibez Creative reserves the right to suspend or delay service delivery until the full amount is received.

3.5 Automatic Renewal
Where applicable, service agreements may automatically renew at the current rate unless cancelled before renewal via the relevant platform or by contacting support. Renewals may be subject to updated terms and pricing.

4. Chargebacks, Disputes & Enforcement

4.1 No Chargebacks
By making any payment—whether credit/debit card, ACH, or wire—you acknowledge all charges as valid and waive any right to initiate chargebacks, reversals, or payment disputes, except in cases of proven fraud or billing error. Dissatisfaction, non-usage, or subjective value does not constitute grounds for a chargeback.

4.2 Pre-Dispute Requirements
Before initiating a dispute or claim, you must notify Vibez Creative at [email protected], including the basis for your dispute, and allow at least 15 business days for resolution.

4.3 Consequences of Improper Chargebacks
Initiating a bad-faith or unwarranted chargeback is a material breach. Upon breach, Vibez Creative may:

Suspend or terminate access to services

Accelerate all contract fees

Assess an administrative/merchant damage fee

Pursue legal action or binding arbitration to recover damages, fees, and costs

5. Guarantees

5.1 90-Day Love It or Leave It Guarantee

Applies only during the first 90 days of a DFY service partnership.

Allows the Client to terminate services if expectations are not met.

Termination must be requested in writing within 7 days after the 90-day period ends or 7 days prior to the 4th scheduled shoot, whichever comes first.

Termination under this guarantee does not entitle the Client to any refund of payments already made.

After 90 days, the Client cannot terminate under this guarantee and is responsible for full remaining payments for the 12-month partnership.

5.2 500k Views Guarantee (Specific Packages Only)

For eligible DFY packages, Vibez Creative guarantees a minimum of 500,000 cumulative views across all platforms within the first 90 days.

If the target is not reached, Vibez Creative will continue to work for free until 500k views are achieved.

The guarantee requires the Client to:

Provide all required assets and approvals on time

Follow deadlines and content review processes

Not alter, remove, or restrict any content after posting

Actively engage with audiences as advised

This guarantee does not provide a refund; it only obligates Vibez Creative to continue working until the milestone is met.

6. Intellectual Property

6.1 Ownership of Deliverables
Upon full payment, the Client receives a license to use final deliverables for marketing, social media, websites, and commercial purposes.

6.2 Vibez Creative Retained Rights
Vibez Creative retains ownership of strategies, methodologies, and proprietary systems. The Client does not own underlying creative assets unless otherwise agreed in writing.

7. Termination

7.1 Termination by Client
The Client may terminate services only during the 90-day Love It or Leave It period. After that, the Client is responsible for all remaining payments for the 12-month partnership.

7.2 Early Termination Fees
After 90 days, early termination requires full payment of all remaining fees under the contract.

8. Limitation of Liability

Vibez Creative is not liable for indirect, incidental, or consequential damages. Liability is limited to the amount paid for services under dispute.

9. Confidentiality

9.1 Client Confidentiality
Vibez Creative will maintain the confidentiality of all proprietary client information.

9.2 Third-Party Confidentiality
Neither party may disclose third-party confidential information without permission.

10. Governing Law

These Terms are governed by the laws of Australia. Disputes will be resolved in courts located within Australia.

11. Modifications to Terms

Vibez Creative reserves the right to modify or update these Terms. Continued use after changes constitutes acceptance.
